1. Acceptance of Terms

By accessing or using Caleon AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

Caleon AI provides an AI-powered receptionist service that:

• Answers and manages customer calls on your behalf
• Schedules appointments using Google Calendar integration
• Provides call transcripts and analytics
• Manages your business availability and bookings

2.1 NOT FOR EMERGENCIES

⚠️ CRITICAL WARNING: This service is NOT designed for, and must NOT be used for:

• Medical emergencies - Call 911 or your local emergency number
• Life-threatening situations - Seek immediate professional help
• Legal emergencies - Contact appropriate authorities
• Any situation requiring immediate professional assistance

Our AI is NOT a substitute for professional medical, legal, financial, or emergency services. It is designed ONLY for routine appointment scheduling for non-emergency business purposes.

3. Account Registration

3.1 Account Creation

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 User Responsibilities

By using our service, you acknowledge and agree that:

• You will NOT use this service for emergencies or life-threatening situations
• You will maintain separate emergency procedures (911, emergency contacts, etc.)
• You will monitor the AI and verify critical appointments
• You are solely responsible for any consequences of using this service
• You will inform your customers this is an AI service, not a human receptionist

3.3 Google Calendar Connection

By connecting your Google Calendar:

• You authorize us to access your calendar data as described in our Privacy Policy
• You confirm you have the right to grant us this access
• You understand we will create and modify calendar events on your behalf

4. Acceptable Use

4.1 You Agree NOT to:

• Use the Service for any illegal purposes
• Harass, abuse, or harm others through the Service
• Attempt to gain unauthorized access to our systems
• Use the Service to send spam or unsolicited communications
• Reverse engineer or copy our AI technology
• Violate any applicable laws or regulations

4.2 Business Use Only

Our Service is designed for legitimate business appointment scheduling. You may not use it for:

• Automated spam or robocalling
• Fraudulent booking of appointments
• Impersonation or deception

5. Subscription and Payment

5.1 Pricing

Current pricing is available at our Pricing Page. We may change prices at any time, but existing subscribers will receive 30 days notice before any price increase affects their subscription.

5.2 Billing

• Subscriptions are billed monthly or annually based on your plan selection
• Payment is processed securely through Stripe
• By subscribing, you authorize us to charge your payment method automatically each billing period
• Failed payments may result in immediate service suspension
• You are responsible for keeping your payment information current

5.3 No Refunds Policy

All subscription fees are non-refundable. This includes:

• No refunds for partial months or unused time
• No refunds if you cancel mid-billing period
• No refunds for unused call minutes or features
• No refunds if your account is terminated for violating these Terms

Why no refunds? We provide access to our service on a subscription basis. Once you've had access during a billing period, we cannot refund that time.

5.4 Cancellation

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• You will retain access until the end of the paid period
• After cancellation, you will not be charged again
• Your data will be retained for 60 days as described in our Privacy Policy

5.5 Free Trials

If we offer a free trial:

• You must provide payment information to start the trial
• You will be automatically charged when the trial ends unless you cancel
• Cancel before the trial ends to avoid charges
• One free trial per customer

6. Service Availability

6.1 Uptime

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for:

• Scheduled maintenance
• Force majeure events
• Third-party service outages (Google, Stripe, etc.)
• Your internet connectivity issues

6.2 Service Modifications

We reserve the right to, at any time and without liability:

• Modify, suspend, or discontinue any feature or the entire service
• Update our AI models and capabilities without notice
• Change pricing for new subscribers
• Impose limits on certain features (e.g., call minutes, number of agents)
• Refuse service to anyone for any reason

We will provide reasonable notice for material changes when possible, but are not required to do so. No refunds will be given for discontinued features or services.

7. Intellectual Property

7.1 Our Rights

Caleon AI and all related technology, software, and content are our intellectual property. You may not:

• Copy, modify, or create derivative works
• Sell, rent, or sublicense our Service
• Remove copyright or proprietary notices

7.2 Your Content

You retain ownership of your:

• Business information
• Customer data
• Calendar events

However, you grant us a license to use this data to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Google User Data

We comply with Google API Services User Data Policy, including Limited Use requirements.

9. Limitation of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• That the service will be uninterrupted or error-free
• That the AI will always respond correctly
• That appointments will be scheduled without errors
• That the service meets your specific requirements
• The accuracy, reliability, or quality of any information obtained through the service

9.2 No Liability for AI Errors

Our AI is designed to help, but it can make mistakes. We are not responsible for:

• Appointments scheduled at wrong times
• Missed calls or failed call transfers
• Incorrect information given to customers
• Transcription errors or misunderstood requests
• Any business losses resulting from AI behavior

You should monitor the service and verify important appointments.

9.3 No Liability for Personal Injury or Death

⚠️ CRITICAL DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

• Personal injury, illness, or death arising from use of our service
• Delayed or missed emergency services due to AI errors
• Medical complications from delayed or incorrect appointment scheduling
• Any harm resulting from reliance on AI-provided information
• Consequences of AI misunderstanding emergency or urgent situations

BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT YOU WILL NOT USE IT FOR EMERGENCIES AND THAT YOU ARE SOLELY RESPONSIBLE FOR ENSURING PROPER EMERGENCY PROCEDURES ARE IN PLACE.

9.4 Maximum Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Lost profits, revenue, or business opportunities
• Loss of data or information
• Cost of substitute services
• Missed appointments or customer complaints
• Damage to your business reputation
• Emotional distress or mental anguish
• Punitive or exemplary damages

9.5 Liability Cap

Our total liability for any claim (including death or personal injury) shall not exceed the LESSER of:

• The amount you paid us in the 12 months before the claim, OR
• $100 USD

This means if you paid $50/month for 6 months ($300 total), our maximum liability is $100, even if you claim higher damages.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your infringement of third-party rights
• Your use of the Service

11. Termination

11.1 By You

You may terminate your account at any time by:

• Canceling your subscription in Settings
• Emailing us at caleontech@gmail.com

11.2 By Us

We may suspend or terminate your account immediately, without notice, and without refund if:

• You violate these Terms in any way
• You engage in fraudulent, abusive, or illegal activity
• Your payment fails or is disputed
• You abuse our Service, AI, or support team
• We suspect unauthorized or suspicious activity
• For any reason or no reason, at our sole discretion

If we terminate your account for Terms violations, you are NOT entitled to any refund, even if you paid for the current billing period.

11.3 Effect of Termination

Upon termination (by you or us):

• Your access to the Service ends immediately
• All data will be retained for 60 days, then permanently deleted
• You remain liable for all charges incurred before termination
• No refunds will be issued for remaining time in your billing period
• All licenses and rights granted to you are immediately revoked

12. Dispute Resolution

12.1 Informal Resolution

Before filing any claim, please contact us at caleontech@gmail.com to attempt to resolve the issue.

12.2 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions.

12.3 Arbitration

Any disputes shall be resolved through binding arbitration, except you may bring claims in small claims court.

13. Changes to Terms

We may update these Terms from time to time. We will notify you by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending email notification for material changes

Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Caleon AI.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 No Waiver

Our failure to enforce any right does not waive that right.

14.4 Assignment

You may not assign these Terms. We may assign our rights and obligations to any successor entity.
